TeachAde - Terms of Use

These Terms of Use (“Terms”) are a legal agreement between you and Pearce, LLC, doing business as TeachAde (“TeachAde,” “we,” “us,” or “our”). They govern your access to and use of TeachAde.com, including its community, groups, resources, messaging, workspace, and related features (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Minors

You must be at least 13 years old to create an account. The Service is not directed to children under 13, and children under 13 may not create or use an account. If we learn that an account belongs to a child under 13, we may close it and delete associated personal information as required by law.

If you are under the age of legal majority where you live, you may use the Service only with permission from a parent or legal guardian, or through a school or educator authorized to approve your use. Parents, guardians, schools, and educators are responsible for supervising minors they authorize and for ensuring that their use complies with applicable law and school policies.

2. Accounts and Security

You agree to provide accurate, current information and keep it updated. You are responsible for activity under your account and for safeguarding your password and any connected sign-in method. Do not share credentials or use another person’s account. Notify [email protected] promptly if you suspect unauthorized access. We may require verification, restrict access, or suspend an account to protect users or the Service.

3. Educational Community; No Professional Advice

TeachAde provides tools for educators and students to connect, collaborate, and share educational resources. Content on the Service may be created by users and is provided for general educational and informational purposes. TeachAde does not guarantee that user content is accurate, complete, suitable for a particular learner, or compliant with the policies of any school or institution. The Service is not legal, medical, financial, or other professional advice.

4. Acceptable Use

You may not use the Service to:

Violate any law, regulation, court order, or the rights of another person;
Post content that is unlawful, fraudulent, defamatory, threatening, harassing, hateful, sexually exploitative, or harmful to minors;
Solicit personal information from a minor without lawful authorization;
Infringe copyright, trademark, privacy, publicity, or other rights;
Impersonate another person or misrepresent your identity, affiliation, qualifications, or the source of content;
Send spam, unauthorized advertising, chain messages, malware, or harmful code;
Attempt to bypass security, access another account, probe the Service, scrape protected areas, or interfere with operation of the Service;
Collect or use user information for surveillance, profiling, discrimination, or unauthorized commercial solicitation;
Use automated systems in a manner that places an unreasonable load on the Service or ignores technical access controls; or
Encourage or assist anyone in doing any of the above.

We may remove content, limit distribution, preserve evidence, report conduct to appropriate authorities, or suspend or terminate accounts when reasonably necessary to enforce these Terms, protect users, or comply with law.

5. User Content

“User Content” means resources, files, posts, comments, messages, profile information, images, and other material you submit to the Service. You retain ownership of your User Content.

You grant TeachAde a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, and otherwise use your User Content only as reasonably necessary to operate, secure, improve, and provide the Service and to make content available to the audiences you select. This license ends when the content is deleted from our active systems, except where retention is reasonably necessary for backups, legal obligations, security, dispute resolution, or content that has been shared with or incorporated into collaborative community materials.

You represent that you have the rights and permissions needed to submit your User Content and grant this license. Do not upload confidential student records, education records protected by law, or sensitive personal information unless you are authorized to do so and the Service is expressly designed to receive it. Public posts may be viewed, copied, or reshared by others.

A separate license, including a Creative Commons license, applies only when it is clearly displayed with particular content or affirmatively selected by its owner.

6. TeachAde Content and Intellectual Property

The Service and its software, design, branding, and content supplied by TeachAde are owned by Pearce, LLC or its licensors and are protected by intellectual-property laws. Subject to these Terms, TeachAde grants you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, classroom, or internal educational purposes. You may not copy, sell, license, reverse engineer, frame, or commercially exploit the Service except as permitted by law or with our written permission.

7. Copyright Complaints

We respect intellectual-property rights and may terminate repeat infringers. A copyright owner or authorized agent may send a notice identifying the copyrighted work, the material claimed to infringe and its location, contact information, a good-faith statement that the use is not authorized, a statement under penalty of perjury that the notice is accurate and the sender is authorized, and a physical or electronic signature.

This contact is for intellectual-property notices only. Knowingly submitting a false claim may result in liability. We may forward a notice to the user who posted the material and process a valid counter-notice as permitted by the Digital Millennium Copyright Act.

8. Third-Party Services and Links

The Service may link to or integrate with third-party services, including Facebook Login, stores, advertisers, and externally hosted resources. Third parties operate under their own terms and privacy practices. TeachAde does not control and is not responsible for third-party services, content, availability, transactions, or security. A link does not imply endorsement.

9. Privacy and Communications

Our Privacy Policy explains how we collect, use, retain, and disclose information. By providing contact information, you agree that we may send service, security, account, and legal notices. Marketing communications, if offered, will include available opt-out methods. You remain responsible for notices or permissions required before submitting another person’s information.

10. Account Closure and Termination

You may request account closure through account settings or by contacting [email protected]. We may suspend or terminate access for violations of these Terms, risk to users or the Service, prolonged inactivity, legal requirements, or discontinuation of the Service. Provisions that by their nature should survive termination—including ownership, licenses needed for retained content, disclaimers, limitations, indemnification, and dispute provisions—will survive.

11. Service Changes and Availability

We may modify, suspend, or discontinue features or the Service. We do not promise that the Service will always be available, uninterrupted, secure, or error-free. When reasonably practicable, we will provide notice of material changes that significantly affect users.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TEACHADE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT USER CONTENT, THIRD-PARTY SERVICES, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEARCE, LLC, TEACHADE, AND THEIR AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TEACHADE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Pearce, LLC, TeachAde, and their affiliates, officers, employees, contractors, and licensors from claims, damages, losses, liabilities, and reasonable legal fees arising from your User Content, misuse of the Service, violation of these Terms, or infringement of another person’s rights. This obligation does not apply to the extent a claim results from TeachAde’s own unlawful conduct.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Unless applicable law requires otherwise, any legal action arising from these Terms or the Service must be brought in a state or federal court located in Colorado, and each party consents to those courts’ jurisdiction. Nothing in these Terms prevents either party from seeking appropriate injunctive or equitable relief.

16. Changes to These Terms

We may update these Terms to reflect changes to the Service, law, or our practices. We will post the revised Terms and update the effective date. When changes are material, we will provide reasonable additional notice, such as an account notice or email where appropriate. Continued use after the effective date of revised Terms constitutes acceptance, except where law requires another form of consent.

17. General Terms

These Terms and the Privacy Policy are the entire agreement concerning the Service unless a separate written agreement applies. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganization, sale, or transfer of the Service. No third party is a beneficiary of these Terms.
